MASTER SERVICE AGREEMENT (MSA)
PerimeterEye AI Security Platform
Effective Date: 05/15/2026Customer: CustomerProvider: PerimeterEye (“PerimeterEye”, “Company”, “we”, “us”, or “our”)
1. AGREEMENT OVERVIEW
This Master Service Agreement (“Agreement”) governs Customer’s access to and use of PerimeterEye’s AI-powered security platform, including hardware, software, cloud services, mobile applications, firmware, monitoring systems, AI escalation workflows, and related services.
By purchasing, accessing, installing, activating, or using any PerimeterEye products or services, Customer agrees to this Agreement.
2. SERVICES PROVIDED
PerimeterEye may provide some or all of the following services:
AI-powered property monitoring
Edge/local AI processing systems
Cloud-based AI threat analysis
Mobile and web applications
Real-time notifications and alerting
Spotlight tracking systems
Smart siren and audio warning systems
Event recording and storage
Threat escalation workflows
Emergency contact routing
Remote system management
Firmware/software updates
Account management systems
Subscription-based monitoring services
Services may evolve over time and certain features may be added, removed, modified, or deprecated at PerimeterEye’s discretion.
3. SOFTWARE LICENSE
PerimeterEye grants Customer a limited, non-exclusive, non-transferable, revocable license to use the PerimeterEye software, firmware, mobile applications, cloud systems, and related technology solely for authorized internal use.
Customer shall not:
Reverse engineer, decompile, or disassemble the software
Attempt to extract source code
Circumvent security measures
Replicate PerimeterEye hardware or software systems
Copy proprietary workflows or AI escalation logic
Use the system to build competing products
Interfere with cloud APIs or backend systems
Share credentials outside authorized users
Tamper with firmware or embedded systems
Any attempt to steal, duplicate, reproduce, or misappropriate PerimeterEye intellectual property, hardware control systems, AI workflows, firmware, software architecture, or proprietary technology may result in immediate termination, civil litigation, injunctive relief, financial damages, and referral to law enforcement authorities.
4. AI MONITORING SERVICES
Customer acknowledges that:
PerimeterEye utilizes AI-assisted monitoring technologies
AI outputs may contain inaccuracies or false positives
AI-generated threat classifications are probabilistic in nature
The system is intended to assist, not replace, human judgment
PerimeterEye does not guarantee prevention of crime, injury, theft, property loss, or security incidents
PerimeterEye systems may utilize:
Local AI processing
Cloud AI processing
Hybrid AI reasoning systems
Automated escalation workflows
Behavioral analysis systems
Threat classification engines
Vehicle/person/object recognition technologies
5. AI ESCALATION WORKFLOWS
Customer authorizes PerimeterEye systems to execute configured escalation workflows, which may include:
Spotlight tracking
Audio warnings
Push notifications
Emergency contact notifications
Siren activation
Recording escalation
Threat-level adjustments
Automated workflow sequencing
Certain escalation actions may require Customer opt-in and may be configurable through the PerimeterEye application.
Customer acknowledges that AI escalation workflows may:
Activate automatically
Operate without human review
Be triggered by AI-detected events
Escalate based on perceived threat behavior
PerimeterEye does not guarantee the accuracy, appropriateness, or effectiveness of any escalation decision.
6. CLOUD PLATFORM SERVICES
Customer understands that portions of the system rely on cloud infrastructure, including but not limited to:
AI processing
Data synchronization
Notifications
User account systems
Remote access
Event storage
Authentication services
System coordination services
Cloud functionality may be unavailable due to:
Internet outages
Third-party provider failures
Infrastructure outages
Maintenance
Cybersecurity incidents
Force majeure events
7. THIRD-PARTY SERVICE DEPENDENCIES
PerimeterEye services may rely on third-party providers, including:
Cloud hosting providers
Internet service providers
Cellular providers
AI model providers
Push notification providers
Payment processors
Mapping providers
Emergency communication systems
Identity/authentication services
PerimeterEye is not responsible for outages, failures, delays, inaccuracies, interruptions, or security incidents caused by third-party services.
8. MOBILE APPLICATIONS
Customer may access services through PerimeterEye mobile or web applications.
PerimeterEye may:
Modify application functionality
Push application updates
Disable unsupported versions
Require mandatory updates
Limit compatibility with outdated devices
Customer is responsible for maintaining compatible hardware, operating systems, and internet connectivity.
9. SUBSCRIPTION TERMS
Certain services require active subscription payments.
Customer agrees:
Subscription fees are recurring unless canceled
Failure to pay may result in service suspension
Fees may change with prior notice
Taxes are Customer’s responsibility unless prohibited by law
Hardware financing obligations may survive cancellation
PerimeterEye may suspend or terminate services for:
Nonpayment
Fraud
Abuse
Chargebacks
Terms violations
Security risks
10. REMOTE SOFTWARE & FIRMWARE UPDATES
Customer authorizes PerimeterEye to remotely deploy:
Firmware updates
Software updates
Security patches
AI model changes
Configuration updates
Performance improvements
Feature additions/removals
Emergency security mitigations
Updates may occur automatically and without additional consent.
Customer acknowledges updates may:
Temporarily interrupt service
Change functionality
Modify interfaces
Alter AI behavior
Deprecate existing features
11. CLOUD FEATURE MODIFICATION RIGHTS
PerimeterEye reserves the right to:
Modify platform features
Add or remove functionality
Adjust AI behavior
Change subscription plans
Introduce usage limitations
Retire services
Reconfigure workflows
Modify cloud infrastructure
No guarantee is made that any specific feature will remain permanently available.
12. BETA / EXPERIMENTAL FEATURES
Certain features may be labeled:
Beta
Experimental
Early Access
Preview
Test Features
These features:
May contain bugs or inaccuracies
May be discontinued at any time
May operate unreliably
Are provided “AS IS”
May collect diagnostic or training data
PerimeterEye disclaims all warranties related to beta functionality.
13. ACCEPTABLE USE
Customer shall not use the system to:
Violate laws or regulations
Conduct unlawful surveillance
Harass or intimidate individuals
Interfere with emergency responders
Abuse platform infrastructure
Attempt unauthorized access
Conduct denial-of-service attacks
Scrape APIs or backend systems
Share unauthorized credentials
Circumvent platform restrictions
PerimeterEye reserves the right to suspend or terminate accounts for misuse.
14. CUSTOMER RESPONSIBILITIES
Customer is solely responsible for:
Internet connectivity
Electrical power availability
Local network reliability
Proper installation environments
Physical security of equipment
Maintaining compatible devices
Compliance with surveillance laws
Obtaining legally required consents
Maintaining emergency contact information
Customer understands system functionality may degrade during:
Power outages
Network outages
ISP failures
Hardware failures
Environmental interference
15. INSTALLATION ENVIRONMENT REQUIREMENTS
Customer agrees to maintain installation environments that are:
Structurally safe
Weather-appropriate
Electrically compliant
Within operating temperature ranges
Free from hazardous interference
Compatible with required mounting systems
PerimeterEye is not liable for failures caused by:
Improper installation
Unsafe mounting
Power instability
Water intrusion
Environmental damage
Customer modifications
16. THIRD-PARTY INTEGRATIONS
PerimeterEye may support integrations with third-party devices, platforms, or services.
PerimeterEye does not guarantee:
Compatibility
Reliability
Continued support
Security of third-party integrations
Third-party services may change or discontinue functionality without notice.
17. DATA OWNERSHIP & LICENSE TERMS
Customer retains ownership of Customer-generated content and footage.
However, Customer grants PerimeterEye a worldwide, non-exclusive, royalty-free license to:
Process data
Analyze events
Improve AI systems
Train machine learning models
Develop platform features
Diagnose system issues
Generate analytics
If Customer opts into data-sharing programs, PerimeterEye may access flagged events, camera footage, diagnostic information, metadata, and related system outputs for research, AI training, product improvement, and operational purposes.
PerimeterEye may anonymize and aggregate data for business and development purposes.
18. EMERGENCY CONTACT PROCEDURES
Customer is responsible for:
Maintaining accurate emergency contact information
Configuring escalation settings
Understanding local emergency response limitations
PerimeterEye does not guarantee:
Emergency dispatch
Law enforcement response
Medical response
Fire department response
Emergency contact availability
19. SERVICE INTERRUPTIONS
Services may be interrupted due to:
Maintenance
Software deployments
Security incidents
Third-party outages
Internet disruptions
Cloud failures
Hardware malfunctions
Force majeure events
PerimeterEye does not guarantee uninterrupted or error-free operation.
20. ACCOUNT SUSPENSION & TERMINATION
PerimeterEye may suspend or terminate accounts immediately for:
Nonpayment
Fraud
Abuse
Illegal activity
Security risks
Terms violations
Chargebacks
Reverse engineering attempts
Intellectual property violations
Upon termination:
Access may immediately cease
Cloud functionality may be disabled
Stored data may be deleted pursuant to retention policies
21. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
PERIMETEREYE SHALL NOT BE LIABLE FOR:
INDIRECT DAMAGES
INCIDENTAL DAMAGES
SPECIAL DAMAGES
CONSEQUENTIAL DAMAGES
LOST PROFITS
LOSS OF DATA
PROPERTY DAMAGE
PERSONAL INJURY
DEATH
THEFT
SECURITY INCIDENTS
FAILURE TO PREVENT CRIME
PerimeterEye systems are assistive technologies only and are not guaranteed security solutions.
22. LIABILITY CAP
PerimeterEye’s total aggregate liability under this Agreement shall not exceed the total amount paid by Customer to PerimeterEye during the twelve (12) months preceding the claim.
23. FORCE MAJEURE
PerimeterEye shall not be liable for delays or failures caused by events beyond reasonable control, including:
Natural disasters
War
Terrorism
Civil unrest
Government actions
Internet outages
Utility failures
Supply chain disruptions
Labor shortages
Cyberattacks
Cloud infrastructure failures
AI provider outages
24. ARBITRATION
Any dispute arising from this Agreement shall be resolved through binding arbitration conducted in the State of New Jersey under the rules of the American Arbitration Association.
Customer waives:
Jury trial rights
Participation in class actions
Class arbitration rights
Each party shall bear its own legal fees unless otherwise awarded by the arbitrator.
25. GOVERNING LAW
This Agreement shall be governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.
26. ENTIRE AGREEMENT
This Agreement constitutes the complete agreement between the parties and supersedes all prior understandings relating to the subject matter herein.
27. MODIFICATIONS
PerimeterEye may update this Agreement periodically. Continued use of services after updates constitutes acceptance of revised terms.

CUSTOMER ACKNOWLEDGMENT
By using PerimeterEye products or services, Customer acknowledges that they have read, understood, and agreed to this Agreement.
